Job title: Contracts Advisor

Location: Dubai, United Arab Emirates

Reporting to: Contracts Manager

Purpose of the role 

Responsible for contractual content and contracts in the Africa and Middle East region for Seadrill.


Negotiation of new Drilling Contracts 

Qualification of operator’s drilling contract as part of tenders. This is a key part of this role: the successful candidate will review and qualify the operator’s proposed drilling contract in accordance with Seadrill’s contracting principles and in conjunction with input from the Regional Legal Counsel on liabilities & indemnities and general legal matters, the insurance specialists in London, tax advisor and Finance, the Contracts Manager, Marketing Manager and the Marketing Director.

Part of this task involves preparing the qualifications table.  The qualifications serve as the basis of the later contract negotiations and the successful candidate will be part of the negotiations team that corresponds, meets, negotiates and interfaces with the client. 
The successful candidate has responsibility for the final drilling contract to reflect the changes as per the negotiations. 

A brief summary of the key contract terms will have to be prepared for Management in the lead-up to contract signing.

Start-up of new Drilling Contracts 

The successful candidate will have a direct involvement in the start-up of the Drilling Contract, including ensuring that important milestone events are appropriately documented and that all insurances are in place and performing a handover from Marketing & Contracts to Rig
Intake / Operations. 
There may be a significant number of Change Orders for rig modifications / upgrades that have to be drafted and/or reviewed in support of Rig Intake / Operations.  
Draft a commercial summary for Finance. Brief Finance on key commercial terms.

Ongoing Support to Rig Managers and Operations Directors 

Provide contract interpretation guidance to Operations in the event of ambiguity or disputes 
Draft formal correspondence on disputes, Monitor important contract milestones, Perform Contracts Awareness sessions / tutorials and work, with Finance on invoicing matters when required, Draft and/or review Change Orders
Manage Change of Locale, Assignment documentation, Manage escalations. 

Ongoing Support to Marketing

As an additional task in relation to tenders, qualify the Form of Tender; review Confidentiality Agreements etc.
Prepare responses to Due Diligence questionnaires from operators
Back-check Offer Letters, Cover Letters etc. of Marketing on an ad-hoc basis 
Support in arranging internal paperwork such as Board Minutes / POAs for tender signings and POAs and board resolutions for contract signings with HQ in London and the Corporate Secretary in Bermuda.
Arrange for Parent Company Guarantees with HQ in London. Arrange for Performance Bonds / Bank Guarantees with HQ in London. 

Closure of Drilling Contracts 

Work with clients as well as Rig Managers / Finance to perform the closure tasks required as part of Drilling Contracts ending. Arrange returns of Performance Bonds, PCGs. Closure letters. 

Contract administration

Maintain good housekeeping by filing correspondence and documents as required (hardcopy archive and electronic archive) 

Authority and Dimension

Operate within Seadrill key principles for business conduct.

Authorized to delegate tasks to various Rig management teams in order to aid timely submission of quality tenders. 


Person Specification



  • Bachelor or Master’s Degree in Business Administration, Engineering or Law; Extensive experience may compensate for lack of formal qualifications;

  • Minimum of 5 years of related prior experience with Contracts with excellent working knowledge of Customer Terms and Conditions.

  • Preferably prior experience of dealing with drilling contracts or comparable.


  • Strong commercial attitude and able to work under pressure;

  • Structured and systematic with good communication, numeric and writing skills;

  • Dynamic and enthusiastic team player;

  • Strong negotiation skills;

  • Excellent English skills both written (contractual wording) and oral;

  • Any additional language is a plus; 

  • Must be well organized and have good attention to detail.
