JOB TITLE :   Regional Counsel, Eastern Hemisphere

 REPORTING TO : SVP Eastern Hemisphere

  SVP General Counsel (functional)

LOCATION : Dubai

ROLE SUMMARY


The Regional Counsel Eastern Hemisphere is a senior member of the Eastern Hemisphere team providing effective support to Seadrill on a wide variety of legal issues affecting the company’s operations in the Middle East, Asia, Africa and Norway.

The key areas of legal support provided by the Regional Counsel Eastern Hemisphere are New Business, Operations and Litigation.

The role has people management responsibility.

JOB SPECIFIC RESPONSIBILITIES

New Business

  • Provide timely, commercially-focused advice to the Commercial function, in relation to the company’s preparation of bid documentation for new drilling contract opportunities – particularly on appropriate contract terms and structures;
  • Liaise with Corporate Legal and Company Secretariat team in London to ensure robust consideration of group structural and financing requirements ahead of giving legal endorsement for bid submission;
  • Advise on the establishment of new JVs, and on legal and governance issues arising from JV management; and
  • Support Commercial and Compliance functions develop robust legal and governance structures regarding agency agreements.

Operations

  • Drilling: Provide timely, commercially-focused advice on a wide variety of issues arising from drilling rig mobilization, demobilization and 24/7 operations;
  • Regulatory & licensing: advise on and manage trade license requirements, document legalization procedures and other regulatory requirements, including new country entry issues; and
  • Commercial contracts: give pragmatic, commercial advice on a wide range of other commercial agreements relevant to the company or its operations.

Litigation

  • Advise on dispute resolution strategies, and help shape settlements;
  • Manage disputes in various local courts and in international arbitration forums; and
  • Manage engagement with external counsel in all relevant jurisdictions.

The Regional Counsel Eastern Hemisphere is a key supporter of the Chief Compliance Officer in the implementation and monitoring of global Compliance programmes.

 EDUCATION AND EXPERIENCE REQUIRED
  • Qualified lawyer admitted to practice in a common law jurisdiction, or with significant common law advisory expertise;
  • 10 years+ PQE gained in similar in-house environments with a focus on the upstream oil and gas or shipping industries, or experience from a leading law firm advising these industries, coupled with significant secondment experience;
  • Experience of living and working in environments of high cultural diversity – most relevantly in the Middle East, Africa or Asia. There is a strong preference for candidates already based in UAE, with experience of working in the Gulf;
  • Strong history of drafting, negotiating and advising on and commercially complex drilling contracts and common oil & gas supply chain agreements, with a clear understanding of competitive tendering processes; and
  • Experience as a line manager, or a clear aptitude for collaborative leadership of team members.
SKILLS AND KNOWLEDGE REQUIRED
  • Excellent analytical, communication and leaderships skills and the ability to meaningfully discuss legal concepts with non-legal technical staff;
  • Mature judgement, and the ability to balance risk management and commercial opportunity;
  • Well-developed relationship and stakeholder management abilities, and the ability to influence and effectively advise Seadrill’s senior leadership team on strategic issues;
  • Ability to coach, mentor and guide other members of the team, both locally and across the global team; in relation to our Behavioral Framework.
  • Thinks commercially and pragmatically, solves problems in the context of the economic, geographic and political issues relevant to Seadrill – our lawyers can see the “big picture” of our business;
  • Agile and adaptable to changing project conditions, is comfortable in situations that may be ambiguous or where all the relevant information isn’t available;
  • Experience of working collaboratively in multicultural teams, and possibly in remote teams spread across different countries;
  • Mature with a calm manner; and
  • Able to undertake short-duration international business travel.
