Job Title: Senior Legal Counsel 

Reporting To: Senior Vice President and General Counsel 

Function: Legal and Compliance

JOB SUMMARY 

  •  Provide counsel and guidance on legal implications of all operational business matters to executive management and other Company personnel.   
  • Manage and organize corporate activities to protect the company’s legal interests and to facilitate the achievement of company goals and objectives.  
  • Oversee global operational field support matters including, but not limited to, customer contracts, supplier contracts, general third-party contracts, vessel/flag state matters, dispute resolution, occasional acquisitions and divestitures, customs and logistics issues, training/compliance, and real estate matters.  
  • Participate in the development of company policies, procedures, standards, programs and business strategies and ensure each is applied in full recognition of all legal implications and risks.  
  • Prepare and review legal documents and assist in the representation of the company before courts and governmental and regulatory authorities. 

Responsibilities and Requirements  

  • Draft, review, analyze and interpret contracts and other documents.  
  • Oversee all operational support matters including, but not limited to, customer contracts, supplier contracts, general third party contracts, vessel/flag state matters, dispute resolution, customs and logistics issues, training/compliance, and real estate matters.  
  • Provide counsel and guidance on legal implications of all operational matters to members of executive management and other personnel.  
  • Assist In the development of the company’s legal position in substantial legal matters.  Prepare, negotiate, review, evaluate and/or comment on contracts and obligations of the company, and advise appropriate personnel of the degree of legal risk associated with such contracts and obligations prior to becoming a party or otherwise becoming legally bound.  
  • Assist General Counsel with discrete compliance matters, including training and policy matters.  
  • Participate in the development of company policies, procedures, standards, programs and business strategies and ensure each is applied in full recognition of all legal implications and risks. 
  • Participate in the achievement of company goals and objectives by advising members of executive management and other personnel on legal alternatives for business decisions and by providing sound and timely legal services to meet the needs of corporate and operating management.  
  • Provide legal consulting on issues related to general operational matters, marketing matters, policy development, training and quality, health, safety and environmental matters.  
  • Provide legal advice and interface with company personnel on matters relating to intellectual property.  
  • Prepare and review legal documents and assist in the representation of the company before courts and governmental and regulatory authorities. 
  • Review and coordinate use of outside law firm attorneys by the company, domestically and internationally.  
  • Directly supervise and mentor several internal legal operational/commercial counsel, coordinating seamless legal advice on such matters globally.  
  • Monitor the company’s pending and threatened litigation and assist with claims management.  
  • Manage assigned or delegated dispositions, acquisitions and other special projects and tasks to completion in an efficient, economical manner in order to contribute to the achievement of company goals and objectives.  
  • Advise executive management and other personnel of the impact of proposed local, state, federal and international laws and regulations and judicial and administrative decisions on any existing and proposed activities of the company. Review corporate practices including but not limited to operations, marketing, bidding, antitrust compliance, etc. to ensure conformance to standards set forth in the applicable laws and company guidelines and principles 
  • Review and interpret state and federal regulations and court rulings; liaise with international local counsel.  
  • Perform duties as assigned by the General Counsel from time to time. 
  • Travel as required from time to time (<10%)

KNOWLEDGE, SKILLS AND EXPERIENCE 

Experience: 

  • 10+ years' professional legal experience with at least 5 in one or more of the following areas: Drilling, Maritime, Oilfield Services or Energy. 
  • Experience in international operations. 
  • Previous in-house experience preferred. 
  • Strong personnel management skills in the development and supervision of junior attorneys. 
  • Ability to judge character, distinguish relevant facts, assimilate and analyze facts, and apply legal conclusions. 
  • Good communication and analytical skills; good legal research skills; teamwork skills; good problem-solving skills; good legal writing skills. 
  • Strong resource management skills and ability to plan and organize. 
  • Proficient in Microsoft Office Suite application. 

 

Qualifications 

  •  Bachelor’s degree and Doctor of Jurisprudence (JD) degree from an American Bar Association accredited law school.  
  • Licensed to practice law in Texas or other state; member in good standing of the State Bar of Texas or other applicable state.
