Job Title: Senior Corporate Paralegal

Reporting To: Director of Legal

 Function: Legal

JOB SPECIFIC RESPONSIBILITIES

  • Under supervision from Director of Legal, assist with maintenance and administration of all subsidiaries of the Company (domestic and international) including resolutions, powers of attorney, certificates of secretary, certificates of incumbency, review and index minutes of company, subsidiary board meetings, annual meetings and registration of branches. 
  • Assist with board and committee minutes of parent company and assist with parent company proxies, annual meetings and other associated duties.
  • Responsible for maintaining corporate registrations and agents.
  • Maintain and update confidential legal filing system with ability to quickly retrieve information from files when needed. 
  • Assist company personnel with information or other data from legal department and assist auditors, outside counsel and others as required with information from corporate and legal files and minute books.
  • Discretely handle confidential information and maintain complete confidentiality at all times.
  • Act as a liaison with other departments, including senior management team, department heads, facility directors, and other corporate staff, to provide legal documents and agreements and to obtain from/furnish to government agencies information, data and forms.
  • Acts as liaison with outside counsel, agencies, political entities, including outside the United States.
  • Review outside counsel invoices and process internally for payment.
  • Originate correspondence in connection with assigned work and with other matters as requested.
  • Transactional, Project and Public Reporting Support - provide transactional and specified project support including due diligence, closings, drafting ancillary corporate documents for review by counsel, etc. 
  • Assist litigation efforts if necessary, including discovery, index and organize litigation documents for counsel review.
  • Provide some administrative support to legal department.
  • Performs other related tasks, as assigned.

KNOWLEDGE, SKILLS AND EXPERIENCE
Essential

  • 15+ years of legal assistant experience required, including international experience.
  • Excellent attention to detail and organizational skills, and a high level of independent problem-solving abilities are essential.
  • Able to establish own priorities and meeting deadlines.
  • Extensive knowledge of corporate secretarial and administrative procedures.
  • Excellent communication skills with the ability to meaningfully discuss technical concepts and information clearly and meaningfully
  • Strong IT skills, fluent in use of MS Office products, and a background or interest in the application of new technologies to improve workflow, process and productivity
  • Sound judgement, and the ability to balance risk management and commercial pragmatism
  • Open and collaborative working style, both within the local and global teams and when advising internal clients
  • Thinks commercially and pragmatically to solve problems
  • Agile and adaptable to changing project conditions, is comfortable in situations that may be ambiguous or where all the relevant information isn’t available
  • Experience of working collaboratively in multicultural teams, and possibly in remote teams spread across different countries
  • Mature approach, with a calm manner

Desired

  •  Preferred experience in top law firm or company corporate law environment.
  • Superior command of the English language (and legal terminology), both written and spoken. Bilingual skill a plus.

EDUCATION AND QUALIFICATIONS
Minimum Requirements


Preferred

 Bachelor’s degree from an accredited program.
